Job Description

The company is a leading real estate developer focused on Residential and Commercial projects and based out of Bangalore.
They are looking for an AVPLegal who will head the legal function and report to the CMD.
The ideal candidate will come with deep expertise in the Real Estate sector.

Job Role :

Legal Strategy and Oversight:
  1. Develop and implement legal strategies aligned with the companys goals and objectives.
  2. Provide strategic legal advice and guidance to senior management and the board of directors.
  3. Oversee all legal activities ensuring compliance with applicable laws regulations and industry standards.

Contract Management:
  1. Review draft and negotiate a wide range of contracts including construction agreements subcontractor agreements vendor contracts and joint venture agreements.
  2. Ensure that contracts are properly executed and that the companys interests are protected in all contractual arrangements.

Risk Management:
  1. Identify legal risks associated with construction projects transactions and business operations.
  2. Develop and implement risk mitigation strategies to minimize legal exposure and protect the companys assets and reputation.

Litigation and Dispute Resolution:
  1. Manage all legal disputes claims and litigation matters involving the company including construction disputes contract disputes and regulatory enforcement actions.
  2. Collaborate with external counsel and represent the company in legal proceedings as necessary.

Regulatory Compliance:
  1. Stay abreast of changes in construction laws regulations and industry standards.
  2. Ensure compliance with all applicable regulatory requirements including building codes environmental regulations safety regulations and licensing requirements.

Corporate Governance:
  1. Oversee corporate governance matters including board meetings corporate filings and compliance with corporate governance best practices.
  2. Advise senior management and the board on corporate governance issues and responsibilities.

Mergers and Acquisitions (M&A) and Corporate Transactions:
  1. Provide legal support for mergers acquisitions joint ventures and other corporate transactions.
  2. Conduct due diligence reviews and assess legal risks associated with potential transactions.

Legal Training and Development:
  1. Develop and implement legal training programs for employees across the organization.
  2. Provide guidance and mentorship to legal department staff and other employees on legal matters relevant to their roles.

Stakeholder Management:
  1. Build and maintain positive relationships with internal stakeholders including senior management department heads and project teams.
  2. Interact with external stakeholders including clients regulatory authorities government agencies and industry associations.

Budgeting and Resource Management:
  1. Prepare and manage the legal departments budget including forecasting expenses and allocating resources effectively.
  2. Optimize the use of internal and external legal resources to achieve costeffective outcomes.

Requirements
Qualification and Skills:

  • Bachelors degree in Law (LLB) from a recognized institution; additional qualifications such as an MBA or LLM may be preferred.
  • Admission to the bar and active license to practice law in the relevant jurisdiction.
  • Extensive experience (typically 10 years) in legal practice with a focus on construction law real estate law or corporate law.
  • Proven leadership and management skills with experience leading a legal team or department.
  • Strong knowledge of construction industry practices regulations and standards. Excellent analytical negotiation and problemsolving abilities.
  • Effective communication skills both verbal and written with the ability to convey complex legal concepts in a clear and concise manner.
  • Ability to work under pressure manage multiple priorities and meet deadlines in a fastpaced environment.
  • High ethical standards and integrity with a commitment to upholding the highest level of professional conduct.
