Job summary
The Legal Manager will be responsible for overseeing the legal functions within Affinity. This role includes providing strategic legal advice ensuring compliance with regulations managing legal risks dealing with corporate governance matters and leading conversation on legal issues at Affinity. The ideal candidate will have extensive experience in financial services law and possess strong leadership and communication skills.

Key responsibilities
Legal advisory
- Provide expert legal advice and support to Management and Board of Affinity on a broad range of issues including regulatory compliance governance contracts and litigation
- Interpret and apply relevant laws and regulations to business operations
Compliance and Risk management
- Ensure the company s operations comply with relevant laws and regulations
- Develop and implement policies and procedures to mitigate legal risks
- Conduct regular audits and assessments to identify and address potential legal risks
- Monitor changes in laws regulations and legal trends that may impact the organization and provide recommendations for compliance
Contract management
- Draft review and negotiate various contracts including client agreements vendor contracts and partnership agreements
- Ensure all contracts are legally and commercially sound as well as aligned with company policies and objectives
Litigation management
- Manage and oversee any litigation or disputes involving the company
- Work with external counsel as necessary and manage related costs and outcomes
Corporate governance
- Maintain corporate records including minutes of board meetings resolutions and statutory registers
- Ensure timely and accurate filing of statutory returns and other regulatory documents
- Support the board of directors by organizing meetings preparing agendas and drafting minutes
Loan recovery
- Work with outsourced legal firms in loan recovery
- Provide first line of advisory for loans in default that may require legal action to recover
Team leadership
- Lead and mentor a team of legal professionals providing guidance and support in their professional development
- Foster a collaborative and efficient working environment within the legal team
Stakeholder engagement
- Liaise with internal and external stakeholders including regulatory bodies to ensure effective communication and compliance
- Represent the company in legal and regulatory matters as required
Training and development
- Conduct training sessions for employees on legal issues and compliance requirements
- Stay updated on legal developments in the financial services sector and ensure the team is informed of relevant changes
