Your Career

Seeking an experienced inhouse counsel to join our Global Ethics Team as Director Global Ethics Counsel. This role will provide an opportunity to roll up your sleeves and help supervise a team responsible for all global anticorruption efforts adoption of compliance tools implementation of policies and compliance controls and the design of training and compliance communications. This position includes a broad range of responsibilities including: ensuring compliance with the Palo Alto Networks Global Code of Business Conduct and Ethics and attendant policies; partnering with crossfunctional teams in implementation of compliance controls; support for projects relating to antimoney laundering competition and ESG compliance; periodic global risk assessment efforts; monitoring and testing of highrisk transactions; support for insider risk antifraud and other programs. This a new position that will be pivotal in ensuring the Company remains compliant with all applicable laws and regulatory requirements in a dynamic and constantly evolving legal landscape.

You will work to support our Sales Channel and Marketing organizations partnering with Internal Audit Information Security Finance and other assurance functions in supporting the Legal Departments efforts to ensure compliance with a broad spectrum of laws and regulations.

Your Impact

  • You will be pivotal in helping to enhance the existing global ethics and compliance program including supporting crossfunctional efforts in every market where Palo Alto Networks operates

  • Act as the Companys subject matter expert for anticorruption and related ethics and compliance efforts including promotion of a vibrant Speak Up culture and driving employee engagement and compliance awareness

  • Serve as a trusted advisor to the business including providing support for the channel inspection program and overall thirdparty risk management efforts

  • Help to create implement and lead global compliance communication and training efforts relating to various compliancerelated topics

  • Draft update and support implementation of compliance policies procedures and guidelines

  • Assist in the performance of periodic compliance risk assessments contract reviews and compliance controls

  • Support preparation of executive updates training and communications including briefings for members of the executive team audit committee and external auditors

  • Oversee and ensure a riskbased consistent approach to compliance disclosures

  • Partner and support crossfunctional compliance engagement with internal and external stakeholders


Qualifications :

Your Experience 

  • A U.S. law degree from an ABA accredited law school and an active membership in good standing in at least one U.S. state bar with eligibility for admission for Multijurisdictional Practice in California or equivalent military experience required

  • Minimum of 8 years of anticorruption and general compliance experience

  • General public company compliance experience and a strong understanding of the DOJs Evaluation of Corporate Compliance Programs and related guidance

  • Excellent interpersonal skills strategic thinking superior work ethic good business judgment ability to navigate ambiguity cultural awareness and equal comfort in leading teams and working independently

  • Nimble flexible and able to work well with crossfunctional teams while supporting numerous projects simultaneously under tight deadlines

  • Experience and familiarity with adoption and implementation of compliance systems tools and technology solutions

  • Demonstrated success in successfully building and enhancing corporate compliance programs

  • Comfort in delivering communications and training to a globally dispersed workforce

  • Inhouse experience with a U.S. public company including experience in antimoney laundering competition law and ESG regulations strongly preferred

  • Superior English language written and verbal communication skills are a must for success in this role Fluency in other language/s is a significant plus

Global Ethics Team is a part of the Legal Department and is responsible for providing compliance advice and guidance to employees and business partners conducting internal investigations managing and implementing the Global Code of Business Conduct and Ethics and attendant policies compliance communications and training thirdparty risk management and general legal and compliance support.

Compensation Disclosure

The compensation offered for this position will depend on qualifications experience and work location. For candidates who receive an offer at the posted level the starting base salary (for nonsales roles) or base salary commission target (for sales/commissioned roles) is expected to be between $235000 $323500/YR. The offered compensation may also include restricted stock units and a bonus. A description of our employee benefits may be found here.
