Summary of the Job
As our Sr Corporate Counsel youll be more than just a legal advisor youll be a senior strategic partner in our mission of resource preservation and environmental sustainability. Youll work closely with crossfunctional teams to provide commercially minded high quality strategic and timely legal services negotiate a wide range of big and expensive contracts manage litigation and disputes advice on regulatory issues and provide vital project management support to ensure compliance with applicable laws and regulations while mitigating legal risks ensure that all legal labor risks within your responsibility are identified and mitigated appropriately. Duties & Responsibilities:
Provide legal support and guidance on strategic transactions including mergers and acquisitions partnerships and joint ventures as well as corporate financing transactions including divestitures financings investment transactions tender offers and similar transactions.
Provide legal services including the drafting and handson negotiation of a variety of commercial and other agreements and corporate documents
Offer commercially minded high quality strategic and timely legal advice and guidance to internal stakeholders on a full spectrum of legal matters
Represent the company in legal proceedings and negotiations with external parties
Identify and manage present and potential legal risks in delivery of all business including legal risks associated with the implementation of strategic initiatives and projects
Counsel and advise on corporate and securities laws matters including the implementation and compliance with corporate governance policies and procedures
Research report and recommend corporate actions based on applicable laws and regulations affecting company projects deployments business development accounting tax facilities and administration
Review and revise company policies and procedures as required by applicable law and
regulations and internal requirements
Support Senior Vice President Legal Affairs in other tasks including review and negotiation of lenders and other strategic agreements
Mentor lowerlevel legal staff and/or lead indirect teams
Hard Skills:
Outstanding negotiation drafting and analytical skills
Good knowledge of dispute resolution mechanisms
Ability to work with key business partners and render legal analysis appropriate in different contexts in order to maximize business results
High integrity and excellent business acumen and judgment. Ability to translate complex legal matters for nonlegal audiences
Excellent analytical skills with high attention to detail and accuracy

Qualifications :
Education & Experience
Juris Doctor (J.D.) degree from a nationally recognised law school
10 years of experience in commercial law preferably at least 3 years in an inhouse
counsel role
Prior experience in the water technologies or engineering sector preferred
Fluency in English language (with additional languages specifically French or Spanish a plus and the ability to draft and negotiate in them)
Required Certification/Licenses/Training:
Licensed to practice law
Bar member in good standing
Working Conditions
Travel estimated at 20% some international travel likely
This position is hybrid office and home based and can be located in any one of the many
US and Canadian based sites
