Job Description
Job Overview Responsibilities and Duties
a) Drafting reviewing and negotiation of all businessrelated contracts agreements term sheets notices vendor agreements nondisclosure / confidentiality agreements PPAs SHAs SPAs and other M&A and renewable energy sector related agreements
b) Manage complex legal related projects and workflows for the business development team.
c) Supports various aspects of M&A transactions including due diligence document preparation closing mechanics and postclosing administration.
d) Coordinating and managing litigation and alternative dispute resolution matters with the external legal counsel / law firms for the Company
e) Assisting the land team to review title documents and due diligence documents for land pockets for the projects.
f) Coordinating with the finance and compliance team for corporate due diligence of SPVs for mergers acquisition and sale of projects
g) Responsibly manage filing and database of physical and soft copies of all legal litigation and projects documents
h) Assessing analyzing managing and mitigating the legal risks associated with various documents and transactions.
Qualification:
LLB / B.A LLB / BLS LLB or any 3 year or 5year integrated degree in Law recognized in India from an accredited and recognized institute.
LLM and any other complementary degree that could enhance the skill set of the candidate (optional)
Specific skills
Knowledge and experience in Companies Act 2013 transactional laws regulatory laws and other corporate laws.
Preferred having prior exposure to M&A transactions
Prior experience / relevant experience of minimum 2 years in renewable sector or corporate setting
Personal characteristics
Understand the basic contractual and legal concepts and be able to interpret and review the contracts. Should also have good verbal drafting and written communication skills.
Interacting with cross functional teams and external agency
Dedicated and committed towards work
Keen to learn new things quickly absorb in the new environment
Adept in supporting and sustaining a positive work environment and have strong communication and relationship management skills
