The Legal Counsel for Corporate Secretarial and other Compliances primary function and responsibility is to assist the Corporate Secretary to prepare the necessary documentation in relation to corporate housekeeping matters. The incumbent is also expected to assist the Compliance Officer in monitoring issuances of relevant government agencies and the implementation thereof and prepare and submit reportorial requirements of regulatory bodies such as but not limited to the Securities and Exchange Commission Philippines Stock Exchange AntiMoney Laundering Council Data Privacy Commission and Philippines Competition Commission.
Corporate Secretarial Services (70%)
- Prepare appropriate Board Resolutions and/or Secretarys Certificates required on any given transaction
- Prepare the relevant materials for stockholders board and committee meetings
- Attend stockholders board and committee meetings and prepare minutes of the points discussed
- Draft and review charter documents of new corporations or amendments to existing ones such but not limited to increase in capitalization or change of addresses
Compliance (30%)
- Assist the Compliance Officer in monitoring issuances of relevant government agencies and the implementation thereof which can include but shall not be limited to drafting of memos transactional documents among others
- Monitor developments in corporate governance best practices and coordinate with the Compliance Officer with the objectives of adopting said best practices
- Prepare and submit reportorial requirements of regulatory bodies such as but not limited to the Securities and Exchange Commission Philippine Stock Exchange AntiMoney Laundering Council Data Privacy Commission and Philippine Competition Commission
- Represent the Corporation before the regulatory agencies concerned
