Job Description

1.

JOB PURPOSE

Plan lead and organize end to end legal function for BHFL including corporate legal activities against
and by Nonlitigation and supporting collections; Approve and provide advisory on corporate legal for
HTS HNI retail and developer finance cases; Lead documentation vetting and compliance for
SARFAESI activities; Provide support and guidance to manage crisis situation; Ensure smooth
management of against Nonlitigation cases; Ensure empanelment of suitable lawyers for various
cases with adequate credentials and experience



PRINCIPAL ACCOUNTABILITIES

Review relevant legal aspects such as title search and legal reports (via third party agency)

for High Ticket Size (HTS) HNI cases and developer finance cases to provide advisory opinion
and final legal approval prior to disbursement

Analyze comments and review inputs from senior counsels on the title report/ legal report;

Undertake final vetting of these reports and put forward a point of view

Review legal documents and highlight reg flags to the business on cases e.g. issues

pertaining Joint Development Agreement (JDA) for developer finance; Identify and suggest
necessary mitigants; Seek consultation from lawyers for opinion requirements for additional
documents mitigants indemnities etc.; Take the big picture view across factors to provide
decision on cases with issues in terms of go/ no go

Provide day to day advisory on critical retail cases involving deviation; Review case details

provide approvals and inputs on deviations for funding (e.g. missing deed minor share etc.);
Study and provide point of view and legal opinion on special nonHTS cases

Review and finalize drafting of corporate/ retail loan and mandatory agreements changes in
agreements with developer finance restructuring agreements etc.; Review drafts of legal
documents like affidavit bonds etc. for loan transactions; Further discuss with Risk team and
other business stakeholders as needed

Play legal advisory role to all departments of the organization



Agreement Management: As a Lead you will be responsible for overseeing the entire
lifecycle of agreements. This includes reviewing drafting negotiating and finalizing various
types of agreements such as lending documents vendor contracts partnership agreements
and other legal documents while ensuring that these agreements comply with regulatory
requirements and mitigate legal risks.

Compliance and Risk Management: You will play a crucial role in ensuring compliance with

relevant laws regulations and internal policies. This will require you to stay updated on legal
developments in the BFSI sector and provide guidance on legal and regulatory issues. You
will work closely with the various stakeholders including the Business Credit and Risk teams
to identify and mitigate legal risks associated with agreements and real estate transactions.



Legal Advisory: As a senior legal manager you will provide legal advice and guidance to
various stakeholders within the Company including business units and other departments.
You will analyse complex legal issues interpret laws and regulations and offer strategic
advice to support decisionmaking processes. You will also be involved in resolving disputes

conducting legal research and staying informed about changes in legislations that impact the
Companys operations.

Collaboration and Communication: You will be required to collaborate with internal and
external stakeholders such as external legal counsels business credit and other internal
teams. Effective communicationand collaboration skills are crucial in this role as you will
need to negotiate agreements explain legal concepts to nonlegal professionals and ensure
clear and concise communication of legal requirements and risks.

Team Development and management (10%)

Participate in recruitment process to identify the right talent at senior positions within the

team

Cascade objectives establish individual performance expectations and regularly review

individual performance of the team; Complete the appraisal related activities for own team



Identify and create development opportunities training induction sessions etc. for team
members to enhance functional/ business knowledge

Advise on Loan structuring

Empanelment of lawyers

Negotiations on Service Provider Agreements/MSAs

Credit and Risk Teams: To advise on loan structuring and viability of transactions. Also to appraise on


Business teams: To provide a viewpoint and legal opinion on HTS HNI case title searches and
developer finance cases ; To coordinate with various other Business teams on product specific requirements
and documents

External Lawyers: To coordinate and negotiate with them
Collections team: To support collections drafting of documents filing N litigations etc. and collection

Lawyers: To discuss case strategy approach local requirements and drafting of documents
Local Agencies: For execution of legal orders across various locations












BFL Legal team: For secured cases of BFL coming to BHFL (legacy) and for cases which may have


unsec. With BFL and assignment of BFL to BHFL owing to regulatory reasons


Vendors/Partners: Various partners who provide services to BHFL

Qualifications


LLB
Work Experience

58 years of work experience
Strong NBFC/ Banking background in legal
Law Firm Experience (preferable)
Corporate experience of drafting agreements
Strong knowledge of overall compliances RBI/NHB compliances and specific requirements for HFC

Salary upto 22LPA
