Job Summary:
The Commercial Lawyer will play a pivotal role in managing complex legal matters and ensuring robust corporate governance for a group of businesses. This role demands a strong background in corporate commercial law coupled with advanced technology skills to enhance legal processes and efficiency. The ideal candidate must have worked in either a corporate environment or a legal firm whose legal services specialize in corporate/commercial business legal services with varying experience in different areas as well as techsavvy capabilities to support the groups strategic objectives.
Key Responsibilities:
- Provide expert legal counsel on corporate transactions including mergers acquisitions joint ventures and corporate restructuring.
- Draft review and negotiate complex commercial contracts leveraging legal technology for efficiency and accuracy.
- Advise on and ensure adherence to corporate governance standards and regulations.
- Implement digital tools to manage corporate records board meetings and shareholder communications efficiently.
- Ensure compliance with relevant laws and regulations across various jurisdictions using compliance management software.
- Conduct regular compliance audits and maintain statutory records electronically.
- Apply practical corporate commercial law experience to manage business contracts commercial disputes and intellectual property matters.
- Oversee the negotiation and of commercial agreements with the aid of contract management systems.
- Lead legal aspects of transactions including due diligence financial structuring and risk assessment using digital tools for enhanced management and reporting.
- Collaborate with internal and external stakeholders to ensure seamless transaction processes.
- Manage commercial disputes including arbitration and litigation using legal tech solutions for case management and ediscovery.
- Develop and implement strategies for effective dispute resolution and risk management.
- Drive the adoption of legal technology solutions to streamline legal operations including document automation legal research tools and data analytics.
- Evaluate and implement new technologies to enhance the efficiency of legal processes and support business goals.
- Prepare and maintain legal documentation including board resolutions shareholder agreements and statutory filings utilizing digital platforms for accuracy and accessibility.
- Provide regular updates and reports to senior management and the Board on legal matters compliance status and technology integration.
Key Requirement
- Bachelors degree in Law (LLB) or related field.
- Professional certification in corporate or commercial law is preferred.
- Minimum 10 years experience in contract valuation SLAs Negotiations Intellectual Property knowledge interpreting Contract Laws for local and international negotiations drafting of contract agreements MoUs knowledgeable in ALL contract Laws across different business segments
- A minimum of 7 8 experience in practical corporate commercial law is required.
- Proven experience with integrating technology into legal processes and managing complex legal matters.
- Strong expertise in corporate commercial law and contract management.
- Proficiency with legal technology tools including document management systems compliance software and digital contract platforms.
- Excellent drafting negotiation and communication skills.
- Ability to manage multiple priorities and work effectively in a dynamic environment.
- Indepth knowledge of corporate and commercial legal principles with a techsavvy approach.
- Strong problemsolving and analytical skills with the ability to leverage technology for legal efficiency.
- High attention to detail and accuracy in legal documentation and reporting.
