Job Summary:
We are looking for a seasoned Legal Head to lead our legal and company secretarial functions. The ideal candidate will have a strong background in corporate law compliance governance and secretarial practices with mandatory qualifications in Company Secretary (CS) and Bachelor of Laws (LLB). This role demands a unique blend of legal expertise and corporate governance ensuring that the company operates within the legal framework while maintaining high standards of corporate governance.
Key Responsibilities:
Legal Advisory & Strategy:
- Develop and implement the company s legal strategy ensuring robust legal support across all business units.
- Provide legal counsel to the Board of Directors senior management and other stakeholders on legal and regulatory issues.
- Anticipate legal risks and develop strategies to mitigate them.
Corporate Secretarial Functions:
- Oversee all company secretarial functions including compliance with the Companies Act board meetings and shareholder communications.
- Maintain and manage statutory records filings and registers in compliance with regulatory requirements.
- Prepare and file necessary documents with regulatory authorities including annual returns financial statements and board resolutions.
Compliance Management:
- Ensure that the company adheres to all legal and regulatory obligations including corporate governance standards.
- Monitor changes in legislation and ensure that the company s practices are updated to remain compliant.
- Develop and implement internal compliance programs including training and audits to ensure adherence to legal and regulatory requirements.
Contract & Documentation Management:
- Draft review and negotiate contracts agreements and other legal documents to protect the company s interests.
- Ensure that all contractual obligations are met and that potential legal issues are identified and addressed proactively.
Corporate Governance:
- Advise the Board and senior management on corporate governance best practices.
- Ensure that the company operates with transparency accountability and integrity.
- Facilitate board and committee meetings including the preparation of agendas minutes and resolutions.
Litigation & Dispute Resolution:
- Manage and oversee all litigation matters working closely with external legal counsel.
- Develop strategies for dispute resolution and represent the company in legal proceedings when necessary.
Leadership & Team Management:
- Lead and mentor a team of legal and compliance professionals fostering a culture of excellence and ethical behavior.
- Provide guidance on complex legal and secretarial matters ensuring continuous professional development within the team.
Experience: 2-3 yrs of Product Marketing/ Technical Experience in ELV/ Access Control products Qualifications: B.E./ MBA or equivalent Degree
