Job Description
Job Purpose:
To manage all affairs of regulatory compliance board reporting and corporate governance.
Responsibilities:
Compliance Documents & Reports:
- Review Banks SOPs Policies Manuals and Product Programs from Compliance Risk perspective and provide feedback
- Provide compliance opinions on cases and issues report by departments
- Oversee preparation of Quarterly progress reports of CBO and Half Yearly status report
- Prepare summary presentations for Mancom on new circulars issued by CBO
- Review new CBO circulars/ regulations and assess their impact on the Bank. Provide feedback to CBO as and when required
- Oversee gap analysis process on CBO circulars
CBO Correspondence
- Oversee all CBO correspondence.
- Coordinate data submission to CBO on periodic requests
CBO Examinations
- Arrange data for CBO examiners as per provided Indents from departments and as and when requirements by the examiners on site
- Ensure administrative arrangements for the examiners onsite
- Arrange responses for draft and final observations and meetings to discuss findings
- Coordinate and prepare data for Exit Meeting with CBO team
- Prepare Action Plan on CBO examination report by CBO deadline
- Prepare a report and presentation for the Board and Mancom on Examination
Oman Banking Association
- Participate in OBA regulatory compliance working committee
- Review draft circulars from CBO coordinate Banks feedback and discuss it at the committee platform
Board Governance Risk and Compliance Committee
- Prepare consolidated periodic board reports and presentation in compliance with CBO circulars
- Ownership of BGRCC Terms of Reference. Review and update the document on periodic basis
Corporate Governance
- Prepare Annual Corporate Governance report of the Bank after coordination with all stakeholders
- Handle external audit review on governance report and governance process
- Oversee related party database monitoring and update their details on MSM portal
- Ownership of Corporate Governance guidelines of the Bank. Monitor and update the guidelines on a periodic basis
- Coordinate CBO communications and regulatory requirements (forms and documents) on induction and retirement of Board members
- Coordinate CBO communications and regulatory requirements (forms and documents) on induction promotion exit and retirement of senior management members
- Coordinate with Board Secretary on annual performance assessment of Board Subcommittees and Sharia Supervisory Board
- Prepare/ review banks disclosures on the MSM
Department / Staff Management
- Oversee work of team staff guide and train as and when required
- Ownership of departments policy and Manual. Review and update periodically
- Prepare reports and perform tasks as and when assigned by AGM Compliance
- Prepare department submissions such as department structure Key Risk Indicators Risk and Control SelfAssessment Business Impact Assessment System Access Matrix etc.
Relevant Experience in Years
6 Years
Required Qualification
Essential (E): Bachelors.
Desirable (D): Masters in finance / Islamic Finance would be a plus
Professional Qualification: ACCA CA or CPA
At least 6 years of relevant experience in overall and few years working with big four audit firms specially dealing with banking clients. Islamic finance knowledge would be added advantage
