Job Description

We are seeking a detailoriented and experienced Contract Specialist with at least 10 years of experience to join our team. The Contract Specialist will be responsible for the preparation review negotiation and management and execution of contracts with a focus on NonDisclosure Agreements (NDAs) architectural and engineering consulting services agreements AIA agreements subconsultant agreements and other related documents. This role will also involve supporting our teams responses Requests for Proposals (RFPs) managing change orders and possibly assisting the General Counsel on other tasks.

Key Responsibilities: 

  • Review Draft and Negotiate Contracts: Prepare review and negotiate various contract types including NDAs architectural and engineering consulting service agreements Change Orders AIA agreements subconsultant agreements and other related documents. Facilitate negotiation sessions when necessary to ensure favorable terms for the company.
  • Contract Management: Ensure contract terms and conditions comply with company policies track response time for contract reviews and work with our companys contract management software system for review and repository of contra.
  • Request for Proposals (RFPs): Assist the teams responding to RFPs with review and execution of required disclosure documents as well as preliminary document reviews.
  • Risk Management Assistance: As and to the extent requested by the General Counsel assist with applications for insurance coverages for each of our multiple companies handling of subpoenas corporate governance maintenance and tracking of professional licensing for such operating companies and drafting of demand letters for payment of our invoices with subsequent filing of liens and/or pursuit of litigation as requested by the General Counsel.
  • Collaboration: Work closely with internal teams including legal finance project management and technical professionals to gather necessary information for the performance of the above tasks
  • Reporting: Provide regular updates on contract status upcoming deadlines and any issues for discussion as well as maintain charts and matrixes for litigation subpoenas and other matters relevant to the business.  

Qualifications :

  • Bachelors degree 
  • 10 years of experience 
  • Experience in contract review preferably in a construction engineering or architecturerelated field.
  • Excellent attention to detail with strong analytical and organizational skills.
  • Ability to read interpret and draft complex contract language.
  • Proficient in Microsoft Office Suite (Word Excel Outlook) and experience with contract management software is a plus.
  • Strong communication and interpersonal skills to collaborate effectively with internal and external stakeholders.
  • Ability to manage multiple priorities in a fastpaced environment and meet deadlines.
  • Ability to maintain confidentiality and to exercise discretion and good judgment.
  • Certifications related to legal field or contract review is a plus.
