Job Description

In the context of BESIX Group NV/SA diversification efforts in startups renewable energy and public/private partnerships we are currently looking for a Corporate Legal Counsel. As such you will:

  • advice on corporate law and corporate governance related issues.
  • draft and negotiate various legal instruments (nondisclosure agreements letters of intent memoranda of understanding joint bidding agreements consortium and shareholder agreements shareholder loans etc.) and more in general review and draft all required contractual documentation in the (bidding and) negotiation phase.
  • conduct and coordinate legal due diligence.
  • provide legal advice and assistance throughout the project execution including follow up on any claims in close cooperation with the relevant project team.
  • conduct litigation (judiciary and arbitral proceedings).
  • manage outside counsel notaries advisors etc. in this field.
  • participate in monitoring legal compliance keeping up to date with new regulations analyze their impact on operational activities and ensure their implementation.

Perform a variety of corporate housekeeping tasks for BESIX Group NV and its affiliates such as:

  • contribute to the proper organization of corporate bodies meetings throughout the group: agenda invitations documentation set minutes decision statements etc.
  • draft and review all documents relevant in such context.
  • ensure proper incorporation of corporate entities compliance with filing requirements etc.
  • contribute to the management of the groups corporate housekeeping classification and documentation tools.
  • ensure a proper follow up of group mandates and delegations of powers.
  • advice both group level managers and committees and operational entities on any corporate law and governance issues.
  • draft and review corporate law related documentation in project development and M&A contexts.

In this role you will report to the General Counsel (functional) and the General Manager of BESIX Invest (operational).


Qualifications :

  • University degree in law with a strong academic track record; any additional degree is a plus.
  • At least 7 years of relevant and demonstrated experience in corporate law either in a major law firm with a notary public or within a company preferably in an international context.
  • Knowledge of and/or interest in project finance public private partnerships renewable energy and complex projects.
  • Fluent in French English and Dutch; any other language is a plus.
  • Able and willing to combine a business enabler role with an outspoken intellectual independence with a view to promote a sound and sustainable legal framework for BESIX operations.
  • Strong analytical skills; rigorous methodical attention to detail.
  • Outstanding drafting and negotiation skills.
  • Strong interpersonal and communication skills.
  • Team player; driven by collective results rather than individual achievements.
  • Self starter; capable of multitasking in a demanding and deadlinesdriven environment.
  • Impeccable personal and work ethics.

You are willing to work from our HQ in Brussels but with telework flexibility.
