Job Description

company secretarys responsibilities include:
Compliance
Ensuring the company complies with laws regulations and internal policies
Board meetings
Organizing board meetings AGMs and committee meetings and preparing agendas and minutes
Communication
Facilitating communication between the board committees senior management shareholders and stakeholders
Documentation
Maintaining statutory books such as registers of members directors and shareholders
Filing
Filing documents with Companies House such as annual tax returns audit reports and confirmation statements
Training
Supporting directors and executives with training courses and arranging training for newly appointed directors
Regulations
Monitoring changes in regulations and informing directors and executives of those changes
Performance evaluation
Evaluating the performance of the Board of Directors
Liaison
Liaising with external regulators and advisers such as lawyers and auditors
A company secretarys role varies depending on the type of company.
