To assist the Secretarial Team regarding various Secretarial Matters (Listed Public and Private companies and LLPs). This role requires the candidate to be well versed with legal provisions relevant to the Corporate Secretarial functions of a listed and Unlisted companies and should have a collaborative approach in owning up and discharging his/her responsibilities
Key Responsibilities
Performing the overall Secretarial functions and Compliances with provisions of Listing Regulations / Company Law / SEBI Regulations / compliances of LLP;
Handling all Secretarial Compliances of listed entity subsidiaries and promoter entities and all related activities thereto;
Preparation of Agendas and Minutes of the Meetings of Board of Directors Committees General Meetings Postal Ballot Notices of companies and LLPs;
Drafting of resolutions including circular resolutions of companies LLPs and trusts;
Assisting with preparation of Annual Reports of companies;
Preparing and maintaining secretarial records of companies and LLPs including statutory registers and Directors database;
Filing of necessary forms and reports with ROC / MCA / Stock Exchanges / SEBI / RTA etc. in emode and XBRL modes;
Statutory compliances in connection with debt securities and assisting with listing of commercial papers debentures ESOPs Corporate Actions;
Annual filing of companies and LLPs;
Filings in connection with Insider Trading provisions and SEBI SAST Regulations;
Corresponding collating required information preparing secretarial reports and assisting with Secretarial and Statutory Audits of companies and LLPs;
Compliances of trusts
Updating the Secretarial Team with updates / amendments to changing SEBI laws and Companies Act requirements;
Updating Policies / Terms of the Reference of Committees as may be required from time to time;
Handling Dividend payment and IEPF process;
Be the administrator for the Secretarial compliance system;
Handling invoicing and payment activities for secretarial function.
Who are we looking for
Education:
A Company Secretary holding CS Membership from ICSI
Skills:
Good drafting communication skill and presentation skills;
Ability to work in a challenging and unstructured/dynamic environment and multitasking skills;
Sincere and hardworking;
Skillful in planning tasks and able to prioritize work and ability to work strategically;
Good Collaboration with various support functions;
Good working knowledge of Microsoft Word Excel Powerpoint.
Rank holder at Professional level ICSI (would be preferred)
