Sous la supervision du Chef des investissements lavocat en droit corporatif conseillera sur les fusions acquisitions r organisations et transactions immobili res complexes. Il assurera la conformit juridique des structures de financement et collaborera avec les quipes fiscales et de direction pour optimiser les transactions et r diger les contrats n cessaires.

Brigil is currently looking for a Corporate lawyer.


Under the supervision of the Chief Investment Officer the corporate lawyer will provide legal advice on mergers acquisitions reorganizations and complex real estate transactions. The lawyer will ensure the legal compliance of financing structures and collaborate with tax and management teams to optimize transactions and draft necessary contracts.




Requirements

  • Fournir des conseils juridiques en mati re de fusions et acquisitions r organisations d entreprises et autres structures complexes.
  • Assurer le respect des meilleures pratiques juridiques dans les transactions li es au financement d entit s en collaboration avec l quipe de fiscalistes.
  • Conseiller l organisation dans le cadre de transactions immobili res et de baux commerciaux tant en Ontario qu au Qu bec.
  • R diger n gocier interpr ter et r viser divers contrats relatifs aux transactions immobili res.
  • R diger et mettre jour des contrats entre soci t s affili es en assurant leur mise jour annuelle et la gestion des documents permanents.
  • Agir en tant que conseiller juridique aupr s de la direction dans des domaines vari s du droit des affaires.
  • Travailler en collaboration avec une juriste sp cialis e dans dautres domaines et partager les connaissances au sein de l quipe juridique.
  • Cr er structurer et documenter des processus internes et des directives pour garantir l efficacit et la p rennit des pratiques juridiques.



Qualifications :

Membre en r gle du Barreau du Qu bec ou de l Ontario.

Minimum de 5 ans d exp rience pertinente en droit corporatif fiscal des contrats et bancaire.

Ma trise du fran ais crit et parl avec des connaissances avanc es de langlais crit et oral.

Expertise en droit corporatif droit fiscal droit des contrats et droit bancaire.

Connaissances en droit de la construction et droit des s ret s (atout).

Connaissances autant en Common Law qu en droit civil (atout).

Capacit travailler en quipe tout en faisant preuve d autonomie.

Capacit g rer des dossiers dans un environnement rythme lev et sous pression.

Comp tences organisationnelles solides : capacit structurer les d marches laborer des processus et des documents structur s pour une gestion efficace des dossiers.




Responsibilities:


  • Provide legal advice on mergers and acquisitions business reorganizations and other complex structures.
  • Ensure compliance with legal best practices in transactions related to the financing of entities in collaboration with the tax team.
  • Advise the organization on real estate transactions and commercial leases in both Ontario and Quebec.
  • Draft negotiate interpret and review various contracts related to real estate transactions.
  • Draft and update intercompany agreements ensuring their annual update and management of permanent documents.
  • Act as legal advisor to management on various business law matters.
  • Collaborate with a legal expert in other areas and share knowledge within the legal team.
  • Create structure and document internal processes and guidelines to ensure the efficiency and sustainability of legal practices.


Qualifications:


  • Member in good standing of the Quebec or Ontario Bar.
  • Minimum of 5 years of relevant experience in corporate tax contract and banking law.
  • Proficiency in written and spoken French with advanced knowledge of written and spoken English.
  • Expertise in corporate law tax law contract law and banking law.
  • Knowledge of construction law and secured transactions law (asset).
  • Knowledge of Common Law and Civil Law (asset).
  • Ability to work as part of a team while demonstrating autonomy.
  • Ability to manage files in a fastpaced and highpressure environment.
  • Strong organizational skills: ability to structure tasks develop processes and create organized documents for efficient file management.
