To manage the Legal function providing legal advice to WOQOD and subsidiaries in order to mitigate legal risks, resolve related problems and disputes, and provide ongoing legal assistance for business transactions, while consistently adhering to applicable laws and regulations as well as internal policies, and working to promote WOQOD and subsidiaries overall interest.
Legal Advisory
Counseling: Provide legal advice to the executive team and board of directors on a wide range of issues, including corporate governance, risk management, and regulatory compliance.
Contract Review: Oversee the negotiation, drafting, and review of contracts and agreements to protect the organization's interests.
Compliance Management
Regulatory Compliance: Ensure that the organization adheres to all applicable laws, regulations, and industry standards, developing compliance programs as necessary.
Policy Development: Create and implement internal policies and procedures to mitigate legal risks and ensure ethical conduct.
Risk Management
Risk Assessment: Identify and assess legal risks associated with the organization's activities and operations, advising management on risk mitigation strategies.
Crisis Management: Manage legal crises or disputes, coordinating responses and strategies to protect the organization’s reputation and interests.
Litigation Management
Litigation Oversight: Oversee all litigation matters involving the organization, including managing outside counsel and developing legal strategies.
Dispute Resolution: Facilitate the resolution of disputes through negotiation, mediation, or arbitration, when appropriate.
Corporate Governance
Corporate Documentation: Ensure proper maintenance of corporate records, including meeting minutes, resolutions, and compliance documentation.
Board Support: Support the board of directors in fulfilling their governance responsibilities, providing legal advice on board matters.
Intellectual Property
IP Management: Oversee the organization’s intellectual property portfolio, including trademarks, copyrights, and patents, ensuring protection of proprietary assets.
Training and Education
Staff Training: Conduct training sessions for employees on legal issues, compliance matters, and ethical practices to promote a culture of compliance.
Awareness Programs: Develop and implement programs to raise awareness of legal risks and responsibilities among employees.
Strategic Support
Business Strategy Alignment: Align legal strategies with business objectives, providing proactive legal support for business initiatives and transactions.
Mergers and Acquisitions: Provide legal support for mergers, acquisitions, and other corporate transactions, conducting due diligence and negotiating terms.
Additional Responsibilities
Policy Advocacy: Monitor legislative and regulatory changes that may impact the organization and advocate for appropriate responses.
Stakeholder Communication: Communicate legal issues and strategies to internal and external stakeholders effectively.
