Job Description

Job Posting: Junior Paralegal (Corporate Law)

Location: Downtown Vancouver British Columbia

About the Firm: Our client an awardwinning litigation firm based in downtown Vancouver requires a Junior Paralegal in Corporate Law with 2 or more years of experience. This role involves a combination of corporate records maintenance transactional M&A work and general support duties.

General Responsibilities:

Corporate Records Work:

  • Maintain physical company record books and Corporate Services Department paper/digital client files (BC federal and EPRs).
  • Assist with converting physical company record books into virtual minute books.
  • Prepare various forms and documents from precedents and templates.
  • Maintain/update the ALF Corporate Records Database.
  • Prepare outgoing document packages/record books for courier.
  • Answer and direct phone calls and respond to email inquiries.
  • Communicate directly with clients as needed.

Transactional Work:

  • Assist with formation and governance matters relating to corporations (including notforprofits) and partnerships.
  • Prepare documentation for commercial transactions such as changes of ownership or management M&A joint ventures amalgamations and dissolutions.
  • Conduct due diligence reviews of corporate records and prepare rectification resolutions.
  • Conduct and review public searches in connection with due diligence matters.
  • Perform various BC Online searches.
  • Edit and format various correspondence agreements reports forms and spreadsheets.
  • Coordinate the execution and collation of transaction documents.
  • Handle closing documents and prepare digital closing books.
  • Assist on largescale projects/transactions for the Firm.

Other Support:

  • Provide ancillary support and timeoff coverage for other Paralegals.

Ideal Candidate Requisites:

  • More than 2 years of experience as a Paralegal in a similar law firm environment ideally with focused experience in Business Law.
  • Securities and/or Real Estate Law experience is a definite asset.
  • Completion of an accredited Paralegal program.
  • Strong technical and formatting skills with excellent attention to detail.
  • Proficiency with legal applications including Alf Microsoft Office Suite Adobe Workshare Compare BC Online DocuSign MyLTSA.
  • Experience with Soluno and Worldox is a definite asset.
  • Excellent organizational skills with the ability to prioritize a busy workload.
  • Tactful with good judgment when handling confidential and sensitive matters or direct communications with clients.
  • Strong team player with collaborative communication and interpersonal skills comfortable working on group projects.
  • High standards for quality of client service clientcentered and businessminded approach to all work.
  • Positive "cando" attitude.
