They have an opening for a Corporate Paralegal role. This position reports to one of our Counsel as well as the Director of Operations & Talent. In terms of practical daytoday reporting this position will take instructions from the Lawyers across the Firm.
A. General Responsibilities
• Corporate Records Work:
o Maintaining physical company records books and Corporate Services Department paper/digital client files (BC federal and EPRs)
o ist with the conversion of physical company records books into virtual minute books
o Preparing various forms and doents from precedents and templates
o Maintaining/updating the ALF Corporate Records Database
o Preparation of outgoing doent packages/records books by courier
o Answer and direct phone calls and inquiries by email
o Communicating directly with clients as needed
• Transactional M&A Work:
o Formation and governance matters relating to corporations (including notforprofits) and partnerships; ist with preparation of doentation for commercial transactions – changes of ownership or management M&A joint ventures amalgamations and dissolutions
o Due diligence review of corporate records and preparation of rectification resolutions conduct and review public searches in connection with due diligence matters
o Perform various BC Online searches
o Editing/formatting various correspondence agreements reports forms and spreadsheets
o Coordinating the and collation of transaction doents
o Handling closing doents and preparing digital closing books
o istance on largescale projects/transactions for the Firm
• Other Support
o Ancillary support and time off coverage for other Paralegals
B. Ideal Candidate Requisites
• At least 3 years’ experience as a Paralegal in a similar law firm environment ideally with focused experience in Business Law
• Securities and/or Real Estate Law experience a definite et
• Completed an accredited Paralegal program
• Strong technical and formatting ss with excellent attention to detail
• Deep experience with legal applications including Alf Microsoft Office Suite Adobe Workshare Compare BC Online DocuSign MyLTSA
• Experience with legal applications such as Soluno Worldox a definite et
• Excellent organizational ss ability to organize and prioritize a busy workload
• Tactful with good judgment when handling confidential and sensitive matters or direct communications with clients
• Strong team player collaborative strong communication and interpersonal ss comfortable working on group projects
• Takes pride in high quality output and high standard for quality of client service client centered and business minded approach to all work
