Job Description

Overview

As a Company Secretary (CS) and Chief Compliance Officer (COP Holder) you will play a vital role in ensuring the companys compliance with legal and regulatory requirements. You will be responsible for maintaining high standards of corporate governance and facilitating effective communication between the board of directors and the companys shareholders. Your expertise in regulatory filings and risk management will contribute significantly to the companys success and sustainability.

Key responsibilities

  • Serve as the primary point of contact for the board of directors and shareholders providing advisory support and guidance on corporate governance matters.
  • Ensure compliance with statutory and regulatory requirements and maintain a comprehensive understanding of applicable laws and regulations.
  • Organize and facilitate board meetings including preparing agendas collating board packs and documenting minutes of meetings.
  • Oversee the management of statutory records including the companys register of members directors and other relevant registers.
  • File necessary documents and forms with regulatory authorities such as annual returns financial statements and disclosures of significant shareholdings.
  • Monitor changes in relevant legislation and the regulatory environment and advise the board on the potential impact on the companys operations.
  • Conduct compliance assessments and risk evaluations to identify potential areas of noncompliance and develop strategies to mitigate risks.
  • Assist in the development and implementation of corporate policies and procedures to ensure adherence to legal and regulatory standards.
  • Collaborate with internal stakeholders to provide guidance on legal and compliance matters fostering a culture of integrity and ethical conduct within the organization.
  • Act as a liaison between the company and external regulatory bodies addressing inquiries inspections and audits as required.
  • Contribute to the drafting of corporate governance reports and assist in the preparation of annual reports and other regulatory disclosures.
  • Participate in the resolution of corporate disputes litigation and other legal matters working closely with external legal counsel when necessary.
  • Support the board in the induction and training of directors ensuring their understanding of their roles responsibilities and legal obligations.
  • Maintain uptodate knowledge of best practices in corporate governance and compliance driving continuous improvement initiatives within the organization.
  • Provide COP services in accordance with applicable laws regulations and company policies ensuring effective oversight and control of compliance risks.

Required qualifications

  • Qualified Company Secretary (ACS) with a valid COP certificate and a good standing with the relevant regulatory authority.
  • Bachelors degree in Law Business Administration or a related field; additional qualifications such as a Master of Laws (LLM) or MBA would be advantageous.
  • Proven experience in a senior compliance or corporate governance role preferably within a public company or regulated industry.
  • Thorough knowledge of corporate and commercial laws securities regulations and corporate governance principles.
  • Demonstrated proficiency in managing board and committee meetings including drafting agendas minutes and resolutions.
  • Experience in overseeing regulatory filings and interacting with regulatory authorities ensuring timely and accurate submissions.
  • Strong analytical and problemsolving skills with the ability to assess compliance risks and develop effective control measures.
  • Excellent communication and interpersonal skills with the ability to engage and influence stakeholders at all levels of the organization.
  • Ability to work independently prioritize tasks and manage multiple deadlines in a fastpaced and dynamic environment.
  • High ethical standards integrity and a commitment to upholding the highest levels of professional conduct and confidentiality.
  • Familiarity with corporate governance software and digital tools for document management and compliance monitoring.
  • Proactive approach to continuous learning and development staying abreast of industry trends regulatory changes and emerging compliance issues.
  • Experience in providing COP services including the development and implementation of compliance programs risk assessments and monitoring activities.
  • Sound understanding of company secretarial practices including the maintenance of statutory records registers and corporate documentation.
  • Ability to lead and mentor a team fostering a culture of compliance accountability and excellence within the organization.
