Legal Assistant Corporate Services
The legal assistant supports the paralegals in the corporate services sector with their administrative and corporate tasks. Responsibilities include managing the opening and closing of files organizing meetings handling bill payments and supporting paralegals in corporate commercial and tax transactions. Responsibilities also encompass drafting annual resolutions preparing legal documents and coordinating internal and external communications. The role is for our client in the legal industry.

Competitive Salary: Between $52.000 and $78.000 per year.
Permanent fulltime position: 35 hours per week.
Flexible schedule: Monday through Friday with possible work hours from 8 am to 4 pm 8:30 am to 4:30 pm or 9 am to 5 pm.
Hybrid work: 3 days in the office and 2 days working from home. Wednesday is mandatory in the office with the freedom to choose the other two days of presence.

Responsibilities:
Maintenance
Draft annual resolutions.
Prepare and electronically file annual update statements (Qu bec).
Prepare extraprovincial reports as needed.
Produce monthly Enact reports for maintenance.
Other related tasks.
Corporate Management
Update virtual minute books and all sector lists and databases.
Conduct various corporate searches.
Write transcribe proofread and/or format corporate documents.
Prepare documents and forms for updating corporate information.
Other related tasks.
Correspondence
Write transcribe proofread and/or format various documents (emails letters memos etc.).
Send received correspondence to clients and transmit documents by fax.
Manage phone calls.
Answer phone calls and ensure followup of internal and external calls.
Contact various government agencies (Registraire des entreprises du Qu bec Corporations Canada etc.).
Organize conference rooms.
Book conference rooms.
Order meals beverages and other services.
Manage files.
Open and organize physical and electronic files (MCDM).
Track paralegal files and perform filing.
Prepare closing forms for inactive files.
Send archiving boxes to the file and conflict management specialist.
Coordinate the return of archived files.
Other related tasks.
Enact Database
Keep corporate records and minute books up to date in Enact.
Enter data and update company information.
Prepare various forms (incorporation amendment merger) and share certificates.
Update corporate profiles.
Securities
Prepare forms for cheque requests and/or "in trust" fund transfers.
Prepare SEDAR requisition forms.
Coordinate obtaining signatures and send documents to concerned individuals in Toronto.
Other related tasks.
What you need to succeed:
Professional specialization certificate in legal secretarial work or College Diploma (DEC) in legal administration (a DEC in legal techniques would be an asset).
2 years of relevant experience in a corporate services paralegal team.
Experience and Skills:
Excellent command of both French and English written and spoken to converse with Anglophone and Francophone clients.
Good knowledge of the EnAct database.
Knowledge of the Business Corporations Act (Qu bec) and the Canada Business Corporations Act.
Strong organizational skills and the ability to manage multiple tasks simultaneously.
Autonomous while demonstrating teamwork.
Ability to work under pressure and manage stress.
Attention to detail resourcefulness and availability for overtime as needed.
