Carbon Law Group is a dynamic and growing law firm dedicated to assisting small to mediumsized businesses with their legal needs. Our mission is to provide highquality legal services that support and enhance the growth and success of our clients. We are looking for a skilled and motivated Corporate Counsel to join our team on a parttime basis (approximately 1020 hours week). This role is an excellent opportunity for a legal professional seeking flexibility and a chance to make a significant impact.
Job Description:
As a PartTime Corporate Counsel you will be responsible for providing comprehensive legal support to our company. Your primary duties will include:
- Contract Drafting and Review: Draft review and negotiate a variety of commercial agreements including vendor contracts client agreements NDAs and licensing agreements.
- Corporate Governance: Assist with corporate governance matters including maintaining corporate records and ensuring compliance with relevant regulations.
- Legal Compliance: Advise on regulatory compliance employment law intellectual property and other legal matters pertinent to the client s business.
- Risk Management: Identify and mitigate legal risks provide strategic legal advice to the management team and support internal policies and procedures.
- Mergers and Acquisitions: Provide legal support and advice on mergers and acquisitions including due diligence transaction structuring and posttransaction integration.
- Business Development: Handle calls and business development activities to attract new clients and generate new business opportunities for the firm.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with California state bar.
- Experience as a corporate counsel or in a similar role is preferred. New lawyers who are able to learn quickly are also welcome to apply
- Strong knowledge of corporate law contract law regulatory compliance and mergers and acquisitions
- Excellent drafting negotiation and communication skills
- Ability to work independently and manage multiple priorities
