Due Diligence and Transaction Advisory:
- Understanding Key business practices to ascertain decision variables/matrices.
- Analysing financial data and studying key trends of business performance.
- Analysing financial and operational results of businesses through reviewing accounting records and interaction with management team.
- Checking the applicability and compliance with relevant tax and other laws.
- Identifying negotiation factors for purchase price adjustment and deal structuring.
- Reviewing financial projections and analysing forecast assumptions.
- Identifying pre/postacquisition issues and advising on the structuring of transaction.
- Preparation of reports to present findings and recommendations around the key financial tax and business issues in a transaction.
- Review of definitive documents like Share Subscription and Shareholder Agreements.
- Providing client support to ensure seamless completion of investment transactions and advocating for investor rights during such negotiations.
- Assist with review of purchase agreements and postclosing transaction matters.
- Review and drafting of Employee Stock Option Plans.
- Research and building a knowledge database around investment lifecycle entrepreneurship investment securities startup ecosystem private equity venture capital and related matters.
Requirements
- Must be a Qualified CA with good working knowledge of Tax laws and Companies Act and basic understanding of business valuation methodologies.
- Working knowledge of MS Office Suite (specifically Excel and PowerPoint).
- Working knowledge of basic accounting software like Tally.
- Excellent analytical and presentation skills.
- Ability to prioritise effectively on projects and the skills to adapt quickly to new challenges and concepts.
- Excellent communication and negotiation skills.
- Ability to manage the assignments with minimal supervision
- Participative and team player.
- Selfdriven proactive and ready to take initiatives.
