Job Description

Leads the development, implementation and continuous improvement of


MH s governance model including but not limited to governance guidelines and frameworks ensuring they are communicated across MH s assets.


Drives the governance activities across the organization and ensures their compliance with the international healthcare delivery standards and regulations to achieve MH s strategic objectives and drive organizational improvement, as well as maintain legal and ethical standing.


Monitors the governance of MH s assets and makes recommendations for change when required to meet international healthcare standards.


Corporate Governance Supervises the maintenance of MH s delegation of authority (DoA) in line with the established governance framework to facilitate decision making across MH towards the achievement of business goals.



Collaborates with the Legal team on matter such as amendments to




bylaws, delegations of authority and other governance documents.



Provides support to MH assets in developing the structures / links relating




to the MH Executive Team and other governance bodies.





Reports to senior management on organization wide governance issues,




updates related to confidential and sensitive matters to ensure resolving




in a timely manner.









Validates

requests

for

the

setup

of

new




committees/taskforces/workgroups to ensure adherence to governance




standards.









Ensures that

the governance

structure is

appropriate

in

terms of




establishing new committees/taskforces/working groups to avoid




duplication.









Proposes committees constitutions and terms of reference to the General




Counsel and Executive Team to ensure that each committee member is




clear on their roles and responsibilities and monitors compliance.



Formulate the Board and Executive Committee agendas and advise on




the content and the organization of reports/presentations including




documentations of minutes of meeting, registers and action points to

ensure meetings are conducted efficiently and in a streamlined manner.


Implements the corporate governance administrative procedures and

documentation for consistency across all committees ensuring they meet







the quality assurance standards.







Communicates and follows up with the Executive Team to act on decisions




made by the Board and committees to ensure timely execution of




decisions.









Deals with organization wide issues and handles highly confidential and




sensitive information on behalf of the Board, Chair and Executive




Committee.









Advises the Executive Team on areas which may need to be considered




by the Executive Committee and/or Board; exercise judgment and assess




risk when dealing with communications into and out of the organization,




identifying and alerting teams as appropriate when high risk topics and




issues arise.









Supports in setting the employees individual objectives, manages their




performance and development, as well as motivates them to achieve their




individual goals, while ensuring timely completion of their performance


People Management

Provides continuous constructive feedback and coaching to employees




and takes prompt action where necessary to ensure progressive
