Job Description:
- Responsible for developing, negotiating, drafting and interpreting contracts of varying scope and complexity in accordance with corporate policies and business strategies. The role involves but it not limited to:
- Drafting, review, negotiate and build consensus on commercial contracts, for example, Saas, Subscription & Software License agreements, NDA, BAA, Master Vendor Services agreements;
- Provide business clients with advise of potential risks and opportunities related to contract negotiations, and management of the risk;
- Clear communications with stakeholders regarding expectations, risk, regulatory compliance and risk.

Communicate Education/Experience:
- Juris Doctor degree
- Paralegal Certificate or in-house legal experience highly desirable;
- Minimum 5 - 7 years direct experience in negotiating and drafting commercial contract
- Excellent communication, analytical and writing skills
Knowledge:
- Experience in the following areas, a plus: IT licensing, maintenance and support services, finance, insurance, treasury, and leasing transactions; Healthcare industry, insurance company regulation, corporate governance, and subsidiary maintenance.
Additional Information:
- The contracts specialist will report to the contract manager who works directly with legal to finalize and move things along.
- The consultant will be required to take a master and review it, analyze, and composing language this experience is REQUIRED.
- The manager would like this individual to have a law degree, JD (does not need to be barred) and 5 yrs. experience drafting contracts.
- Strong communication skills are REQUIRED.
- They must be able to communicate effectively with executives as to why a change is needed to make the contract compliant.
