ABOUT THE FIRM

Located in the heart of Downtown Toronto our client is a fullservice law firm with 20 lawyers that primarily specialize in Commercial Litigation Securities Corporate Law and Real Estate and Construction Law practices. It has a very cohesive workenvironment and a nonhierarchical nonlinear office culture that promotes collaboration.


ABOUT THE ROLE

This role has a hybrid work schedule and works with Partners Associates and Paralegals to support their work in the Securities department.


ABOUT YOU

You are a junior to midlevel Securities Clerk who is experienced in drafting legal materials for prospectus offerings brokered/nonbrokered private placement financing documents disclosure documents and preparing and completing stock exchange SEDAR SEDI and NRD filings.


Responsibilities
  • Draft legal materials for prospectus offerings.
  • Draft brokered/nonbrokered private placement financing documents (i.e. subscription agreements control document press releases material change reports) including postclosing filings as required (i.e. report of exempt distributions SEDI insider reports)
  • Draft and file disclosure documents on SEDAR (i.e. early warning reports management proxy materials notice of meeting and record dates)
  • Prepare and complete stock exchange SEDAR SEDI and NRD filings as required.
  • Conduct searches of public company information on SEDAR.
  • Support all aspects of securities registrations and filings.
  • Track critical dates and initiate followup action.
  • Update minute book information and filings for reporting.
  • Advise on filing fee and participation fee calculations and filings.
  • Liaise with clients accountants lawyers and regulators by telephone and in person to take instructions and obtain information and reporting on status of matters.


Requirements

  • Minimum of 2 years experience as a Securities law clerk
  • Law Clerk or equivalent degree/diploma
  • Proficiency working with SEDAR Corplink Disclosure net
  • Knowledge of Canadian securities law and corporate law

A JD/LLB and be a Member of the Law Society of Ontario in good standing (or a reciprocating provincial jurisdiction). Minimum three years of commercial litigation experience Employment / labor law experience is a strong asset Exceptional practice management skills, excellent interpersonal skills and a client service orientation. Sound judgment, strong oral and written communication skills and excellent organization, prioritization, and multi-tasking skills.
