Job Description

The purpose of this job is to act as the companys legal advisor to its energy and alternative fuels teams and perform critical strategic and tactical legal functions within the company.  The role will provide the energy and alternative fuels leadership team with effective advice on corporate M&A energy transition and transportation transition matters as well as direct and manage key legal activities for Pilot Energy. 

This role will act as a subject matter expert and provide legal support for the negotiation drafting and implementation of agreements supporting a wide variety of transactions and operations. 

  1. Provide counsel on M&A project development publicprivate partnership agreements and other strategic transactions working with outside counsel when warranted
  2. Serve as key legal advisor on all major strategic transactions including drafting and negotiating critical contracts thirdparty agreements prospective business ventures and customer/vendor/supplier/subcontractor relationships 
  3. Advise on legal aspects of the companys financing including assessing and advising on current and future business structures in legal entities
  4. Conduct due diligence on acquisitions joint ventures and mergers 
  5. Manage and evaluate outside counsel including hiring outside legal counsel review of outside counsel work product and reviewing related expenses
  6. Serve as key legal advisor on compliance with applicable laws and regulations and assist with the development of key compliance tools and programs for alternative fuels and grants. 
  7. Provide direct support for the Head of Legal Energy
  8. Manage internal stakeholders and engage crossfunctionally to ensure collaborative transactions with competing priorities 
  9. Model behaviors that support the companys common purpose; ensure guests and team members are supported at the highest level
     

Qualifications :

  • A Juris Doctor (JD) degree from an accredited college or university required
  • License to practice law in the state of Texas or Tennessee 
  • Three or more years of meaningful transaction experience including significant M&A work
  • 2 plus years of inhouse legal experience highly preferred
  • Corporate M&A and energy projects experience required
  • Intermediate Microsoft Office skills
  • Ability to write business legal reports and correspondence
  • Time management and ability to prioritize in a fastpaced environment
  • Critical thinking and ability to proactively identify potential problems and mitigate existing issues
  • Legal research capabilities with attention to detail
  • Ability to demonstrate confidence professionalism and assertiveness in complex and challenging circumstances
  • Ability to think strategically
  • Strong communication skills and high emotional intelligence
  • Strong business and financial acumen as well as superior analytical and writing skills
  • Experience working on matters of mergers and acquisitions and/or alternative fuel projects
  • Experience with costeffective management of outside legal resources is necessary
     


Additional Information :

  • Travel required less than 25%
  • General office work requiring sitting or standing for long periods of time
  • Ability to work outside normal business hours to support business as needed
  • This role is onsite and may be located in Houston TX or Knoxville TN.
