Job Title: Senior Executive (Secretarial) Location: Kolkata Salary Range: 5-6 LPA Experience Required: 2-3 years of working experience in listed company. Job Description Key Responsibilities: 1. Compliance Management: o Ensure compliance with SEBI (LODR) Regulations and other statutory requirements for listed companies. o Maintain up-to-date knowledge of SEBI Regulations and other relevant legal requirements. 2. Secretarial Functions: o Assist in preparing and filing necessary documents, returns, and forms with regulatory authorities. o Draft notice, agenda, minutes, and related documents. o Ensuring pre and post meeting compliances o Manage and maintain statutory books and registers required under Companies Act, 2013 and SEBI Regulations. 3. Corporate Governance: o Support the implementation of best practices in corporate governance. o Assist in organizing and conducting board meetings, annual general meetings (AGMs), and other committee meetings. o Ensure timely dissemination of notices, agendas, and minutes of meetings. 4. Liaison and Coordination: o Liaise with internal departments, external consultants, and regulatory authorities as required. o Coordinate with auditors and ensure compliance with audit requirements. 5. Documentation and Reporting: o Prepare and submit periodic compliance reports to the board and senior management. o Maintain accurate records of all filings, correspondences, and other relevant documents. Qualifications: CS (Company Secretary) qualification is preferred. 2-3 years of experience in handling compliance for listed companies. Thorough understanding of SEBI (LODR) regulations and other applicable legal requirements. Excellent drafting, communication, and interpersonal skills. Proficient in MS Office applications and compliance management software. Skills Required: Strong knowledge of SEBI (LODR) regulations and compliance requirements. Attention to detail and the ability to handle multiple tasks efficiently. Good organizational and time management skills. Ability to work independently as well as part of a team. Proactive and able to handle complex issues with minimal supervision.
