Job Description
Position Overview:
The Venture Capital Legal Counsel will be responsible for providing comprehensive legal support for the firms investment activities. This role will involve advising on a wide range of legal matters related to venture capital transactions including investment structuring regulatory compliance and portfolio management. The ideal candidate will have a strong background in venture capital or private equity law and a proven track record of managing complex legal issues in a highgrowth investment setting.
Key Responsibilities:

Investment Transactions: Draft negotiate and review investment agreements including term sheets subscription agreements and shareholder agreements. Ensure all investment activities comply with applicable laws and regulations.

Due Diligence: Conduct legal due diligence on potential investment opportunities including reviewing company formation documents intellectual property portfolios and contractual obligations.

Regulatory Compliance: Advise on regulatory requirements and compliance matters related to venture capital investments including securities laws antimoney laundering regulations and data protection laws.

Portfolio Management: Provide ongoing legal support to portfolio companies including advising on corporate governance employment law and intellectual property issues.

Dispute Resolution: Manage and resolve legal disputes that may arise with portfolio companies investors or other third parties.

Legal Strategy: Develop and implement legal strategies that align with the firms investment objectives and risk management practices.

Collaboration: Work closely with internal stakeholders including investment professionals executives and external legal counsel to ensure seamless execution of investment transactions and legal compliance.
Qualifications:

Juris Doctor (JD) degree from an accredited law school and admission to the bar in State.

Minimum of 58 years of experience as a legal counsel in venture capital private equity or a related field.

Indepth knowledge of venture capital transactions securities laws and regulatory compliance.

Strong negotiation drafting and analytical skills with the ability to handle complex legal issues effectively.

Proven ability to work independently and manage multiple priorities in a fastpaced environment.

Excellent communication skills with the ability to convey legal concepts clearly to nonlegal professionals.

Experience working with startups and highgrowth companies is highly desirable.
