Manager/Sr. Manager Contracts

Job Summary:

The Manager/Sr. Manager Contracts will play a crucial role in optimizing and managing the Companys contract lifecycle processes. Working closely with the VP of Legal in a dynamic startup environment this position offers an opportunity to leverage and enhance existing contract management systems while developing expertise in negotiating agreements and providing exceptional clientcentered legal services to colleagues across all functional areas. This is a hybrid position with expectations for 23 days in office at our headquarters in Waltham MA.

Key Responsibilities and Opportunities:

The successful candidate will be responsible for managing all the Companys contracting activities from contractrequest intake through execution and filing including:

  • Preparing original draft agreements using Company templates reviewing third party agreements and negotiating these agreements through signature based on appropriate risk and complexity.
  • Independently negotiating and drafting routine agreements (NDAs SOWs etc.) exercising sound business judgment to prioritize issues facilitate pragmatic compromises and determine appropriate escalation paths with minimal attorney oversight.
  • Supporting the drafting and negotiation of more complex agreement under direction of inhouse and external counsel.
  • Managing intake tracking the progress of and running point on the approval and execution of all Company contracts further including CTAs MSAs MTAs etc.
  • Applying clientcentered principles prioritizing and processing contract requests to facilitate timely errorfree agreement development review and execution.
  • Supporting the development and management of a playbook of commonly negotiated contractual provisions.
  • Thinking creatively to continuously improve efficiency within the contracting process for a better user experience that rapidly delivers executed contracts while ensuring quality.
  • Collaborating across all functional areas and generally supporting an atmosphere where colleagues are comfortable and empowered to engage with their Legal teammates early and often.

Candidate Profile:

  • Strong initiative attention to detail and exceptional followthrough are essential.
  • Ability to handle highly confidential information with unwavering discretion.
  • Track record of modeling a high level of professionalism with proven ability to build trusting and respectful relationships with internal and external stakeholders.
  • Comprehensive understanding of the endtoend contracting process with prior experience rapidly onboarding to and enhancing existing contract management systems.
  • Demonstrated knowledge of contract software and database (CLM) and experience administering such systems including empowering colleagues to leverage selfservice options.
  • Familiarity with common biotechnology company relevant contract provisions and an ability to explain their technical distinctions and uses to diverse audiences.
  • Experience identifying and appropriately balancing legal risks among contracting parties.
  • A poweruser of common software including Word Excel Teams and SharePoint (experience with webbased CLM a major plus).
  • Proven ability to build scalable new processes and workflows that can address current needs and adapt to meet future needs for a rapidly growing company.

Minimum Requirements

  • Bachelors degree required; business legal studies or related field preferred.
  • Paralegal training preferred.
  • At least 5 years experience working directly with contracts or in a contracting department drafting reviewing and negotiating the legal terms of a broad range of contracts preferably in a startup or small biotechnology company.
  • Exceptional written and oral communication skills and an unwavering attention to detail and organization.
  • Extensive experience with contract management systems and MS Office applications.
  • Internallymotivated with the ability to manage multiple priorities in fastpaced teamoriented environments.
