Job Description

GENERAL DESCRIPTION: The Inhouse Corporate Paralegal works sidebyside with the General Counsel and Associate General Counsel. The Corporate Paralegal oversees establishes and facilitates corporate legal services worldwide and is responsible for the formation of and annual requirements of the Forever Living global group of entities both domestic and foreign. Primary responsibilities include coordinating/facilitating real estate transactions whether a purchase or sale including drafting relevant closing documents and resolving title issues; handling/facilitating any and all incoming legal matters which matters are received independent of the attorney’s matters.

ESSENTIAL DUTIES/RESPONSIBILITIES/FUNCTIONS:

  • Initiate identify analyze and advise on all corporate matters worldwide.
  • Draft and/or review all corporate documents both domestic and foreign including. but not limited to Articles of Incorporation Articles of Organization Bylaws Operating Agreements Articles and Memorandums of Association shareholder agreements and any amendments regarding all of the same as well as minutes share certificates and all other statutory and entity governing documents.
  • Obtain due diligence materials i.e. certificates of good standing real estate and title information state corporate registry information etc.
  • Draft and/or reviewing all types of agreements and documents as needed throughout the home office and global offices.(i.e. purchase and sale agreements real estate contracts supply agreements license agreements management services agreements nondisclosure agreements professional services agreements lease agreements etc.
  • Coordinate all real estate transactions whether a purchase or sale including drafting relevant closing documents and resolving title issues
  • Draft and/or review all share transfer and assignment documents both domestic and foreign and make all necessary domestic filings or oversee and direct all equivalent foreign filings.
  • Draft and/or review dissolution and withdrawal documents both domestic and foreign and make all necessary domestic filings and oversee or direct al equivalent foreign filings.
  • Prepare file and/or withdraw all applications for authority to do business in a foreign state as well as all trade names.
  • Oversee review and direct the filing of all annual reports throughout multiple states.
  • Draft and/or review powers of attorney affidavits declarations opinion letters and all other types of legal documents.
  • Review and complete any and all types of forms regarding licenses such as licenses for products for health regulatory agencies business licenses applications and filings with any type of state federal or other agency as needed throughout the home office and other locations as well as global offices.
  • Review and negotiate engagement letters with foreign counsel for corporate matters.
  • Draft correspondences for executives at the home office.
  • Assist in the preparation of case files and/or binders for litigation by obtaining due diligence documents providing research organizing and establishing document chronology.
  • Notarize and legalize all of types of documents for foreign jurisdictions which legalization includes obtaining Apostilles and Certificates by submitting notarized documents to the state U.S. Department of State Embassy or Consulate.
  • Develop and maintain various lists for purposes of tracking entities shareholders officers and agents ticklers monitoring entities filings agreements and other documents in place throughout the home office and global offices.
  • Develop establish and oversee the maintenance of the file system including file retention and storage for the Legal Department.
  • Represent department and company in a positive and professional manner at all times.
  • Work cooperatively with coworkers and supervisors.
  • Maintain regular and punctual attendance at work.
  • All other duties as assigned.

QUALIFICATIONS & SKILLS REQUIRED:

  • Ability to maintain absolute confidentiality and discreetness.
  • Strong background in corporate structure and governance both domestic and foreign.
  • Strong background in real estate both domestic and where possible foreign at the very minimum the transactional process and equivalent foreign documents.
  • Strong background in trade names and trademarks both domestic and foreign.
  • Basic understanding of patents and copyrights.
  • Legal research writing analysis and problemsolving skills.
  • Knowledge of transactional law terminology corporate compliance and business operations.
  • High degree of experience in due diligence research and analysis of both historical and present matters.
  • Experience with reviewing and drafting multiple types of agreements real estate documents and corporate documents.
  • Knowledge of estate planning including trusts and wills and corresponding documents.
  • Selfdirected with a high degree of attention to detail.
  • Ability to multitask organize and prioritize.
  • Effective oral presentation and written communication skills.
  • Extremely organized and accurate with a high level of attention to detail.
  • Excellent articulation communication and interpersonal skills.
  • Demonstrated logic reasoning and good judgement.
  • Selfmotivated strong initiative and accountability; followup and ability to followthrough on responsibilities without reminders.
  • Ability to establish and maintain cooperative working relationships with other members of the legal team executives management other departments and offices and outside business contacts.
  • MS office (Outlook Word Excel and PowerPoint).

PHYSICAL REQUIREMENTS:

  • Stand/remain upright walk/move throughout building as needed.
  • Sit/remain seated during entire shift up to 4 hours at a time.
  • Use a computer with dual monitors keyboard and mouse constantly during entire shift.
  • Use general office equipment including telephone copier and scanner regularly.

EDUCATION AND/OR EXPERIENCE REQUIRED:

  • Bachelor’s degree in Paralegal Studies and/or a Paralegal Certification is required.
  • Must be an Arizona certified Notary Public or apply within 30 days of employment.
  • Minimum 7 10 years’ legal experience in a corporate legal environment i.e. law firm or inhouse legal department having both corporate and real estate transactional legal work experience.
