Overview
The Company Secretary (COP Holder) plays a crucial role in ensuring the compliance and governance of the organization in accordance with legal and regulatory requirements. They are responsible for overseeing the companys secretarial and corporate governance functions managing board meetings and ensuring the organizations adherence to statutory and regulatory obligations.
Key responsibilities
- Ensure compliance with statutory and regulatory requirements
- Organize and manage board meetings AGMs and EGMs
- Advise the board on corporate governance matters
- Maintain statutory registers and records
- Manage company filings and submissions
- Prepare and file annual returns and other necessary documents
- Develop and maintain strong knowledge of company law and regulations
- Handle shareholder communications and relations
- Conduct risk assessments and implement risk management procedures
- Monitor changes in relevant legislation and the regulatory environment
- Ensure compliance with stock exchange requirements if applicable
- Provide guidance on the companys constitution and articles of association
- Collaborate with legal advisors and external regulators

- Assist in the induction and training of new board members
Required qualifications
- Holder of a Certificate of Practice (COP) as Company Secretary
- Bachelors degree in Law Business Administration or related field
- Professional membership with a recognized company secretaries body
- Minimum of 5 years experience in a company secretarial role
- Thorough understanding of company law corporate governance and regulatory compliance
- Familiarity with board meeting procedures and legal documentation
- Strong knowledge of statutory and regulatory requirements
- Excellent communication and interpersonal skills
- Ability to work independently and as part of a team
