What you will be doing:

• Conduct legal research and analysis related to corporate transactions
• Conduct due diligence
• Draft and negotiate transaction documents and legal opinions including shareholder agreements stock purchase agreements and merger agreements
• Entity formation
• Advise clients on corporate governance and corporate disclosure matters
• Coordinate document execution
• Ensure compliance with applicable laws and regulations

Experience you will need:

• 35 years in corporate law
• Juris Doctorate degree
• Must be licensed in Pennsylvania
• Proficient in Microsoft Office Suite especially Microsoft Word
• Legal research and technical writing skills including proficiency with legal research tools including WestLaw
• Strong academic and employment credentials
• Excellent writing research negotiation and communication skills
• Good interpersonal interaction skills
• Wellorganized
• Proven track record of performance
