Legal Counsel Fund Investments

Tasks

Legal support mainly for investments in Europe / Reviewing and negotiating terms and conditions for transactions in conjunction with the commercial deal captain / confidentiality agreements term sheets facility agreements intercreditor agreements trade confirmations syndication documents CLO and fund documentation / Instruct and manage external counsel review and discuss their advice / Support/instruct administration department in connection with the execution of transaction documents and settlement / Support tax structuring and other legal professionals on an adhoc basis / Ability to learn to work on direct equity secondary and primary investments / Exposure to such investments whilst an asset is not necessary / Main focus in terms of experience is in debt transactions.

Requirements

Master in Law Business Administration or Finance / Work experience in corporate finance / Excellent analytical and interpersonal skills / Logical thinker / Ability to drill down to details / Excellent communication and negotiation skills / Strong desire to learn and succeed / Clear career vision by understanding of the firms business and industry / Exceptional command of English and fluency in German.
