Job Description

Our client is a growing Single Family Office based in the city of Zug. It manages an international group with its roots in the Netherlands.

In terms of the strategic further development of the group services we are looking to fill the new position of an:

Inhouse Legal Counsel & Compliance Officer 80 100%

Tasks

Acting as the Legal Counsel and Compliance Officer of the office in Zug and in close cooperation with the General Counsel of the Group you will play an important role to shape and control the companys corporate governance compliance and regulatory standards and processes adapted to Swiss law standards. The Legal Counsel and Compliance Officer reports into the Group CFO and also to the Board in case of compliance issues.

Your Responsibilities as Legal Counsel:

  • Setting up the legal standards and providing legal advice and legal support on general and strategic business initiatives (e.g. HR IT data protection) including contract review and preparation
  • Corporate housekeeping e.g. responsible for the legal documentation and administration of the Swiss entities within the Group
  • Company secretary e.g. setting up and ensuring compliance with Swiss (company) law and internal corporate governance processes and organising/attending company (board) meetings
  • Ensuring proper filing and record management of all relevant (legal) documents

Your Responsibilities as Compliance Officer:

Being part of the project for FINMA regulation of the Wealth division of the group. Afterwards responsible for all FINMA regulatory aspects and compliance including:

  • Perform the role of the Compliance Officer registered by FINMA
  • Advise the Board and management on all aspects of FINMA regulation
  • Liaise with FINMA
  • Implement FINMA changes
  • Maintain records and policies
  • Prepare and submit FINMA filings
  • Monitor compliance with investment restrictions (internal and external)
  • Ensuring appropriate training and instruction for employees with regard to compliancerelevant topics (regulatory)

Requirements

Your Profile:

  • Swiss Law degree (Master of Law) or European law degree with solid Swiss law knowledge
  • 8 years proven track record as Inhouse Counsel preferably in a financial institution trust or family office especially with regard to corporate governance and regulatory issues
  • Knowledge of FINMA regulations and requirements
  • Experience in Swiss corporate (and commercial) law
  • Proficient in German (external stakeholders) and English a good command of the Dutch language is highly valued
  • Strong interpersonal and communications skills
  • High attention to detail and accuracy
  • Able to work independently but also as part of a small team
