JOB PURPOSE

Handle all aspects of Corporate Finance & Advisory Key objectives include the following:

The job requires a wide range of experience of investment banking financial analysis valuation and financial modeling. Good report writing and presentation skills are essential. The varied nature of the assignments implies a higher level of problem solving and communications skills. Taking full charge of the assignments with substantial personal initiative is a key requirement together with ability to handle various assignments within tight schedules.

QUALIFICATIONS AND EXPERIENCE

1. Education

Bachelors degree in finance / business or related discipline.

Professional qualifications (e.g. CA/CFA/CAIA/ACCA) preferred and/or MBA/MSc specializing in Finance.

2. Minimum experience/requirements

Preferably 710 years of experience in Investment Banking Equity Capital Markets or related activity.

Sound knowledge of investment appraisals financial modelling (valuations) and legal/regulatory environments.

Solid understanding of accounting and financial statements.

Proven track record of delivery against financial objectives.

Fluent in English & Arabic (advantageous).

Knowledge of local Middle East and International capital markets.

Good interpersonal motivation resource management & marketingorientated skills.

Experience of handling IB key clients and winning new mandates with them.

Must cooperate with other members of the team; a team player.

Displays original thinking and creativity follows policies and procedures.

Generates suggestions for improving work and being able to work under pressure.

Strong negotiating skills and ability to exercise good judgment which balances needs of client investors and the firm.

KEY RESPONSIBILITIES AND ACCOUNTABILITIES

Business Responsibilities:

Participates in all aspects of issue management including transaction origination execution and fund raising in areas of Corporate Finance

• Conducting Due Diligence and Project Appraisal on client organizations intending to go for IPOs/Rights Issues in coordination with other service providers

Preparation of proposals for Initial Public Offers (IPOs) Right Issues Management Private Placement Debt Issuances Financial Advisory and Underwriting Service

• Business development initiatives negotiation and coordination for road shows;
• Drafts and prepares marketing presentations pitch materials books information memoranda investor presentations related agreements and term sheets on a timely basis;
• Making presentations on new proposals to potential clients;
• Develops full financial models on corporate finance transactions and conducts valuation analyses using appropriate valuation methodologies including (public market and transaction multiples DCF LBO DDM merger model etc.);
• Carry out preparation of financial projections financial analysis due diligence business valuation and preparation of other related studies reports and presentations;
• Coordination with regulators and government authorities ensuring confirmation to statutory regulations and the various laws in force from time to time;
• Preparation of Prospectus Subscription Application forms Advertisement Material for IPOs Rights Issues and coordination with regulatory bodies for obtaining necessary approvals;
• Advice clients on capital structuring;
• Assist with appointment and coordination with various Service Providers and assist with post issue management services.
